@hajijohn, @oldelpasotacoshells

I struggle knowing how to assess whether a serial acquirer is adding value or just addding revenue.  I'll freely confess that my valuation skills aren't as good as they could be but when there is no steady state with which to compare the "new"  entity to, I get lost.
Sometimes the rationale is relatively easy to understand- I think wisetech's acquisitions were more about expanding into new Geographies, slowly converting the acquisition to their Cargowise platform and then allowing them to gain access and understanding of all the local requirements. The theory was this would be cheaper and quicker  than trying to start from scratch. They were proved correct.

SaaS companies can also make a case that adding modules by acquisition also makes sense.  A platform product can both attract new customers by having a more complete product, and also upsell to existing customers.  Acquiring this function offers certain advantages over creating this product from scratch. You get new customers who can be up sold to, there is no delay in offering the new module, and there is no risk in successful development as it is already a successful product.

so potentially, BTH is actually being smart.  They are creating a lead platform and adding proven winning modules to rapidly become one of  the market leaders with the resultant reach and scale.

or they are just buying growth

Sadly, I can't tell, so also sold out some time ago. ????

Why didn't they just raise $2B and buy out every player in the market?

That way you can mask organic and inorganic revenue growth...

If they are completely honest they would say

"We identified 100 companies in the TAM of $2B. We need you to give us $2B so we can obtain the TAM"

Completely agree with your comments. I did previously start doing a deep dive into BigTinCan but was put off in the end by a poor result and number of acquisitions was worrying to me. I haven't looked in any detail recently but I just don't get how a company can be successful long term with so many acquisitions. If their base product and development team is so good why do they need to keep buying other companies? What growth is actually organic vs non-organic (is non-organic this year organic the next)? How can you manage integration of so many companies efficiently? What happens to growth when you can't find anything suitable to buy?

@Dominator - The only sensible reason for holding into Bigtincan is the hope that a large US tech company like Salesforce with cash in the balance sheet buy them out at a premium (basically the Afterpay strategy).

Basically, it's a bet on whether a large US tech company in Silicon Valley are gullible enough to buy a company that burns cash faster than their revenue growth. Crazier things have happened :D

Is it normal for an offer such as the one offered by BTH to have the record date a day after the shares come out of trading halt?

I'm assuming the rise in share price today is partly related to shareholders accumulating more shares in order to be able to purchase more shares as part of the 1 to 4 offer since the record date is 7pm tonight.

In the past I've only been involved in offers in which the record date was before the shares came back onto the market.

I don't think shares purchased today will be eligible because the ownership doesn't change for another 2 days

How come the owernship doesn't change for 2 days? I thought it was instant after you purchase shares.

This is in the announcement:

"Eligible retail shareholders with a registered address in Australia or New Zealand on the Record Date of 7.00pm (Sydney time) on Wednesday, 25 August 2021 have the opportunity to invest in New Shares at the Offer Price, on the terms and conditions outlined in the Retail Offer Booklet."

Shares settle on the ASX on a T+2 basis - that is, 2 days after you purchase. It was T+3 but was shortened a few years ago. Blockchain might enable this to go to instant but the ASX has had trouble with it's blockchain plans. Anyway, there are some insto impediments to moving to less than T+2 settlement (funding).

Apologies if this is a simple question.

What does the 1 for 4 offer mean as part of the retail offer announced?

Thanks
