Anteris has made an ASX announcement confirming the timetable for the NASDAQ implementation scheme [ASX announcement]. One minor frustration — with an otherwise overwhelmingly positive scheme — is that the implementation date of the 16th of December 2024 represents an Australian Capital Gains Tax event. As a holder for the better part of 10 years resetting the clock on that is a strange feeling, for something that still feels like the same investment psychologically — I certainly don’t feel like I’ve sold even a single share. It would be a complete non-issue if I didn’t feel like the prospect of a US takeover in the next 12 months was a foreseeable one, which would effectively double any CGT liability. But, that’s a bridge for holders to cross if and when that occurs.

The revamped website [www.anteristech.com] looks great. I particularly like this from the investor section implying the ongoing symbiosis between the US and Australian investors

Observing zero movement on NASDAQ opening the timetable is clearer now and I think I finally get it. Closing price on Fri 13th Dec (US) is likely to be the $6.00 IPO offer price. Tues 17th Dec in Australia (Mon 16th US) 1:1 CDIs on ASX start trading at equivalent of $6 USD (about $9.45 AUD). Then, on Tues the 17th Dec (US) actual trading of the new NASDAQ Anteris company shares — with the original Australian ownership interest factored in by way of the issued CDIs — can commence. This is closely followed by the ASX trading on Wed 18th Dec in Australia where the relationship is normalised and movements between the markets and daily exchange rate fluctuations get arbitraged away (as per Avita AVH for example).

The upshot of all of which is that (if I was sensible) I wouldn’t look at another thing until close of business 4pm Sydney time on Wednesday the 18th of December 2024 because everything in between is just noise. We’ll see. If there is significant panic selling on Tuesday Australian time I may need to jump in. Any IPO pop can’t really happen until after that by my reckoning now and Thurs 19th Dec 2024 is a brand new day in Australia.

Nope. Didn’t have it. I was wrong on at least two counts:

  1. There is actual price movement on AVR.NAS on 13/12/2024 (the wrong way unfortunately); and
  2. The shares that commence trading on NASDAQ on Tues 17th Dec (US time) are those ASX shareholders who elected the US scrip as opposed to the CDIs — the most incentivised to do that are US domiciled institutional or sophisticated investors.


However, I think I remain right on the following count:

  1. There is a lot of noise until after mid-next week. A lot of opaque intrigue I don’t know how to, or (more importantly) I don’t need to, understand. That some holders will be shaken from their otherwise stable perches, and that there is probably some low-hanging fruit to be had yet. But I think no one can have the full picture until all the moving parts are in play on on Thursday 19th Dec 2024 (Australian time).
